Terms of Service

1. Acceptance of Terms

By accessing or using the Optron AI platform, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree with any part of these terms, you must not use our services. These terms apply to all users, including free-tier users, subscribers, and enterprise clients.

2. Use of the Platform

You agree to use Optron AI only for lawful purposes and in a manner that does not infringe the rights of others. Prohibited uses include attempting to reverse-engineer the platform, uploading malicious content, impersonating other users, or circumventing access controls. We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

3. Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@optron.ai if you suspect unauthorised access. Optron AI is not liable for any loss resulting from failure to safeguard your credentials.

4. Subscriptions and Payments

Paid plans are billed on a recurring basis as specified at checkout. Fees are non-refundable except where required by law. Optron AI reserves the right to modify pricing with 30 days’ notice. Failure to pay may result in suspension of access. Enterprise pricing and custom arrangements are governed by a separate order form.

5. Intellectual Property

All content, technology, and materials comprising the Optron AI platform are owned by or licensed to Optron AI and protected by applicable intellectual property laws. You retain ownership of content you submit. By using our services, you grant Optron AI a limited, non-exclusive licence to process your content solely for service delivery.

6. Limitation of Liability

To the fullest extent permitted by law, Optron AI shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

7. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by applicable law. You waive any right to a jury trial in connection with any disputes.

Data Processing Agreement (DPA)

1. Definitions

In this DPA: Controller means the customer entity that determines the purposes and means of processing personal data; Processor means Optron AI, which processes personal data on behalf of the Controller; Data Subject means an identified or identifiable natural person; Processing has the meaning defined under applicable data protection law, including the GDPR and the Nigeria Data Protection Act (NDPA).

2. Processing Instructions

Optron AI will process personal data only on documented instructions from the Controller. Processing will be limited to what is necessary to provide the contracted services. If Optron AI is required by applicable law to process data beyond those instructions, we will notify the Controller before such processing unless prohibited by law.

3. Security and Confidentiality

Optron AI will implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss, or destruction. All personnel with access to personal data are bound by confidentiality obligations. In the event of a data breach affecting your data, we will notify you without undue delay and no later than 72 hours after becoming aware.

4. Sub-processors

Optron AI may engage sub-processors to assist in delivering services. We maintain an updated list of authorised sub-processors available upon request. We will inform you of any intended changes to sub-processors and provide you with an opportunity to object. All sub-processors are bound by obligations equivalent to those in this DPA.

5. Data Subject Rights and Return

Optron AI will assist the Controller in responding to data subject requests under applicable data protection law. Upon termination of the agreement, we will, at your choice, delete or return all personal data processed under this DPA within 30 days, unless retention is required by law. Certification of deletion is available upon request.
